ORDER FORM

This Order Form ("Order Form") is completed and submitted electronically by the Customer within the ONLYAI platform or on ONLYAI’s website, pursuant to the Terms of Service (the "Agreement") accepted electronically by the Customer. The Order Form consists of the parameters selected and the information provided by Customer in ONLYAI’s online ordering flow, as reflected in the electronic order confirmation issued by ONLYAI. No handwritten signature is required.

This Order Form incorporates the Agreement in its entirety.

The fields set out below describe the data captured through the online ordering flow. Each electronic order confirmation, together with the information stored in Customer’s account and ONLYAI’s order records, constitutes the definitive record of the applicable Order Form.

Standard self-service orders (Solo and Agency accounts) comprise Sections 1–3, 7–10, 13–16 and 18, generated automatically by the platform. Sections 4–6, 11–12 and 17 apply only to individually negotiated Enterprise orders and are omitted from the standard electronic order confirmation.

Unless otherwise defined herein, capitalized terms shall have the meanings assigned in the Agreement.

2. ORDER CONFIRMATION DATE

“Order Confirmation Date” means the date and time on which the Customer confirms and submits this Order Form through the online Payment flow, as recorded by ONLYAI’s systems.

For the avoidance of doubt, the Agreement becomes effective upon the Customer’s acceptance of the Terms of Service during registration. The Order Confirmation Date determines the commercial parameters applicable to the paid subscription and does not postpone the effectiveness of the Agreement during the Trial Period.

3. SUBSCRIPTION TERM

The subscription operates on a monthly rolling basis. The paid subscription commences immediately upon expiration of the Trial Period and continues month to month until terminated in accordance with the Agreement. Funding the Account Balance during the Trial Period confirms the applicable Order Form but does not shorten or terminate the Trial Period unless expressly selected by Customer. Sections 9.2 (Subscription Term) and 9.3 (Fixed-Term Subscriptions) of the Agreement apply; a fixed term applies only where separately agreed in writing.

7. SUBSCRIPTION FEE (REVENUE-BASED TIERS)

The monthly Subscription Fee is determined automatically for each connected Creator account based on that Creator’s gross revenue for the preceding calendar month (Section 10.1 of the Agreement):

Up to USD 1,000 — USD 100 / month

USD 1,001 – USD 15,000 — USD 120 / month

USD 15,001 – USD 25,000 — USD 200 / month

Above USD 25,000 — USD 300 / month

The tier is re-assessed automatically each calendar month. For Agency accounts, the total monthly Subscription Fee equals the sum of the fees for each connected Creator account. Promotional pricing (including early adopter pricing) may be offered under separate commercial arrangements.

8. REVENUE SHARE

9. BILLING — ACCOUNT BALANCE

Payment is made through the prepaid Account Balance (Section 10.5 of the Agreement).

Currency: USD. Cryptocurrency top-ups are credited in USD at the value applicable at the time of the top-up and are final and non-reversible once confirmed.

At the beginning of each calendar month, ONLYAI automatically deducts from the Account Balance: (a) the Subscription Fee for the current month (Section 7 above); and (b) 5% of AI Generated Revenue for the preceding calendar month (Section 8 above). An electronic invoice or receipt is issued for each deduction. The first Subscription Fee following expiration of the Trial Period shall be prorated for the remaining days of the applicable calendar month in accordance with Section 10.1 of the Agreement.

If the Account Balance is insufficient, ONLYAI will notify Customer and allow seven (7) days to fund the shortfall. The Services may be suspended if the shortfall is not funded within that period. Suspension does not release Customer from amounts accrued prior to suspension.

10. FREE TRIAL

Customer receives a seven (7) day free trial commencing upon first connection of a Creator account to the Services. No Account Balance funding or payment details are required during the trial. Funding the Account Balance during the trial does not shorten or terminate the trial unless expressly selected by Customer; the first Subscription Fee is deducted upon commencement of the paid subscription following expiration of the trial. Upon expiration of the trial, continued use of the Services requires funding of the Account Balance.

13. SUBPROCESSORS

Customer acknowledges that ONLYAI utilizes Subprocessors identified in the current Subprocessor Register incorporated into the Agreement.

Customer hereby grants the authorization required under Article 28 GDPR for ONLYAI to engage such Subprocessors.

14. AI SERVICES

Customer acknowledges that:

• the Services include AI-assisted communications;
• Human Oversight remains Customer's responsibility;
• AI Outputs are probabilistic;
• Customer remains responsible for all business decisions;
• ONLYAI does not make commercial decisions on Customer's behalf.

15. DATA PROTECTION

The Parties acknowledge that:

Customer acts as Controller.

ONLYAI acts as Processor.

Processing activities are governed by:

• the Agreement;
• the Data Processing Agreement;
• the Technical & Organizational Measures;
• the Subprocessor Register.

16. ORDER OF PRECEDENCE

This Order Form forms part of the Agreement. In the event of conflict, the order of precedence set out in the Agreement applies: mandatory Applicable Law; this Order Form (solely in respect of commercial terms); the Data Processing Agreement (solely in respect of Personal Data matters); the AI Services Addendum (solely in respect of AI-specific matters); the Terms of Service; the Service Level Agreement (solely in respect of service levels); the remaining incorporated Schedules. A subject-specific Schedule prevails only in relation to the subject matter expressly governed by that Schedule.

18. ELECTRONIC EXECUTION AND ACCEPTANCE

This Order Form is executed electronically. By ticking the applicable non-pre-ticked order confirmation checkbox and clicking the order confirmation or Top Up button in ONLYAI’s online Payment flow, the individual acting for Customer: (a) confirms that he or she is authorized to bind Customer; (b) confirms the commercial parameters displayed in the online ordering flow, including the applicable fee schedule, Revenue Share and Account Balance deduction mechanism; and (c) submits a binding electronic Order Form under the Agreement previously accepted during registration. Customer is not required to re-accept the Agreement solely by reason of submitting an Order Form, unless ONLYAI expressly presents an updated version of the Agreement for acceptance.

ONLYAI records the account identifier, the identity of the accepting individual, the timestamp, the originating IP address and the versions of the documents accepted. Such records, together with the electronic order confirmation, constitute conclusive evidence of the execution and content of this Order Form to the fullest extent permitted by Applicable Law.
